Establishment of companies and branch offices

We establish a company for you for remuneration of EUR 285 incl. VAT.

The process of establishment of a limited liability company takes about 13 business days. In specific cases we are capable of shortening the period to about 7 days as from signing of the relevant documents. The process of establishing of company through us is quite simple:

  1. We consult the contemplated scope of business activities and registered office with the client.
  2. The client signs the relevant documents drafted by us before the notary public.
  3. Within 13 days your company is registered in the Commercial Register.

Remuneration includes the following:

  1. Consultations regarding scope of business activities.
  2. Drafting of relevant documents.
  3. Procurement of Trade Licenses.
  4. Relevant court fee.
  5. Drafting and filing of petition for registration of company with the Commercial Register.

We establish a branch office for you for remuneration of EUR 650 incl. VAT.

A branch office of foreign company, although is not a separate legal entity, is an accounting entity pursuant to Section 1(1)(a)(2) of the Act No. 431/2002 Coll. on Accountancy, as amended, and has to keep books (namely double entry bookkeeping under Section 36 of the Commercial Code).

The length of the process of establishment of branch office depends on in which country the mother company is seated. The process of establishing of branch office is for practical reasons preceded by delivery of relevant documents and provision of relevant information from the part of client. After receipt of documents we procure establishment of branch office within 13 days. In specific cases we are capable of shortening the process to 7 days.

Corporate changes in companies

We procure registration of corporate change with the Commercial Register for remuneration of EUR 95 incl. VAT.

We provide our clients with preparation and registration of the corporate changes in relevant Commercial Register, e.g. executives change, change of registered office, increase or decrease of registered capital, supplementing of scope of business activities, etc.

  3. Relevant court fee.
  4. Drafting and filing of petition for registration of corporate change with the Commercial Register.

Mergers of companies

A merger is a process on the basis of which one or more companies is/are wound up without liquidation while the assets of the wounding up companies are transferred to other, already existing company which becomes a legal successor of the wounding up company/ies.

We procure:  mergers of Slovak companies, and cross-border mergers

The process of merger of Slovak companies takes about 14 business days.

The process of cross-border merger takes about 35 business days.

Wounding up and liquidation of companies

Liquidation is a process which follows wounding up of company unless its assets are transferred to its legal successor. In course of liquidation the assets and liabilities of liquidated company shall be settled.

In case your company has only liabilities (it has no assets or receivables) we may procure for you its deletion from the Commercial Register without initiating bankruptcy proceedings.

The process of liquidation takes about 4 to 6 months.

For remuneration of EUR 890 we will draft all documents necessary for transfer of the company to new owner. Our services are in each case complex and, therefore, you need not to worry about any other fees and legal acts.    

Process of transfer of ready-made company to new owner:

  1. Consultation regarding your new company – business name, address, executives, etc.
  2. Drafting of relevant documents necessary for transfer.
  3. Filing of petition to Commercial Register and notification of changes to respective public authorities.

Remuneration includes the following:

  1. Consultations.
  2. Drafting of relevant documents.
  3. Procurement of services of notarial public.
  4. Filing of petition with the Commercial Register.
  5. Notification of changes to respective public authorities.
  6. Legal representation.

Transformation of company´s legal form from partnership into limited liability company

The process of legal form change is a rather simple matter. We are the sole company within territory of the Slovak Republic specializing on transformation of, nowadays not very popular, partnership into a limited liability company. The whole process of transformation does not require participation of the client. In course of 4 weeks the process is finalized and the client gains the following advantages:  

  1. Unchanged business name.
  2. Preserved history of the company – the date of establishment remains the same.
  3. The participants guarantee for liabilities of the company to the extend of the amount of their unpaid participation contributions.
  4. Preserved identifiers – ID No. (IČO), Tax ID No. (DIČ), VAT ID No. (IČ DPH).
